E-SHOP TERMS AND CONDITIONS OF SALE

Last updated: 16 July 2026

These terms and conditions (hereinafter the “Terms and Conditions”) govern the use of and placement of orders through the e-shop operated by Eurosec OÜ (registry code 11606119, address Valguse tee 4, Rae Parish, 75312 Harju County, Estonia, hereinafter “Eurosec”).

By using Eurosec’s e-shop and placing orders through it, the user (hereinafter the “User”) confirms that they have read, understood and agreed to these Terms and Conditions.

Additional terms may apply to a User with whom Eurosec has entered into a separate agreement regarding the placement of orders through Eurosec’s e-shop (hereinafter the “Business User”). Such additional terms shall apply to the extent provided in the respective agreement.

A User with whom Eurosec has not entered into such a separate agreement, including a User who is a consumer, is hereinafter also referred to as a “Private User”.

GENERAL PROVISIONS

Eurosec’s e-shop is used for selling products (hereinafter individually a “Product” and collectively the “Products”) to Users. Sales are subject to the Terms and Conditions applicable at the time the order is submitted.

These Terms and Conditions apply as standard terms and general terms of sale to each sales contract concluded between the User and Eurosec. Upon conclusion of a sales contract, these Terms and Conditions become an inseparable part of that contract.

Eurosec reserves the right to amend these Terms and Conditions where necessary due to changes in applicable legislation or business practices, market developments or the need to clarify circumstances or business risks related to the sale of Products.

Any amendments to the Terms and Conditions enter into force when published on Eurosec’s website at www.eurosec.eu. If the User submitted an order before an amendment entered into force, the Terms and Conditions applicable at the time the order was submitted shall apply to that order.

PRICES

All prices displayed in the e-shop are in euros unless otherwise indicated in connection with the relevant Product.

Value added tax may be added to the prices displayed in the e-shop or may already be included in the displayed price, depending on the information shown in the e-shop, the User’s location and status, the country of delivery and the VAT rules applicable to the transaction.

The final price and applicable VAT shall be displayed to the User before the order is submitted.

A delivery charge shall be added to the price in accordance with the selected delivery method or a separate delivery quotation issued by Eurosec. Where possible, the delivery charge shall be displayed before the order is submitted.

For deliveries outside the European Union, customs duties, import VAT, customs clearance fees and other local taxes or charges may apply. Unless otherwise expressly indicated in the order or Eurosec’s quotation, such taxes and charges shall be paid by the User.

Eurosec reserves the right to change the prices displayed in the e-shop at any time. If prices are changed after the User has submitted and paid for an order, Eurosec shall deliver the relevant Products at the prices applicable at the time the order was submitted, subject to the provisions concerning pricing or technical errors below.

The User shall not be entitled to compensation for subsequent price differences.

Eurosec reserves the right to withdraw from a sales contract concluded through the e-shop and refuse to deliver the ordered Products if the price, description, characteristics, availability or quality of the Products was displayed incorrectly or if the final price of the shopping cart was incorrect due to a technical, human or other error.

Eurosec shall notify the User of any such error without undue delay. The User is requested to report any errors discovered in the e-shop to info@eurosec.eu.

If Eurosec exercises its right to withdraw from the sales contract due to such an error, the User may purchase the same Products at the corrected price indicated in Eurosec’s notice by submitting a new order.

If Eurosec withdraws from the sales contract for the reasons described above, the User shall not be entitled to compensation for any damage resulting from the withdrawal, except where the exclusion of such liability is not permitted under applicable law.

SUBMITTING AN ORDER AND PAYMENT

An order is created when the User clicks the “Add to cart” button or another equivalent button displayed next to the Product.

The User may change the quantities of the Products in the order and add or remove Products at any time before submitting the order.

The order is submitted when the User clicks the “Submit order”, “Place order” or another equivalent order submission button.

A Private User shall pay for an order on the basis of a prepayment invoice or through a payment method offered in the e-shop.

A Business User shall pay on the basis of a prepayment invoice, through a payment method offered in the e-shop or on the basis of an invoice with a payment term separately agreed with Eurosec.

Where displayed in the e-shop before completion of the purchase, payment may also be made through an online bank payment, payment card or another available payment method.

If the User selects payment by invoice, payment for the Products shall take place as follows.

The User submits the order through the e-shop. After the order has been submitted, a confirmation is sent to the User’s e-mail address containing, among other information, the order number and a reference or link to these Terms and Conditions.

A Private User shall receive a prepayment invoice. A Business User shall receive a prepayment invoice or an invoice with a payment term agreed with Eurosec. The invoice must be paid in accordance with the terms specified therein.

If the User selects payment through an online bank payment, payment card or another electronic payment method, payment shall be made through the relevant payment service provider.

After payment, an order confirmation shall be sent to the User’s e-mail address containing, among other information, the order number and a reference or link to these Terms and Conditions.

The payment methods available in the e-shop shall be displayed to the User during checkout. Available payment methods may depend on the User’s country, the currency and value of the order and the services offered by the relevant payment service provider.

Before confirming an order, Eurosec may verify the User’s identity, company details, authority to represent the company, VAT registration, creditworthiness, ability to pay and any circumstances relating to the order or the intended use of the Products.

CONCLUSION OF THE SALES CONTRACT

The display of a Product and its description in the e-shop shall be regarded as an invitation to submit an order and not as a binding offer by Eurosec, unless Eurosec has expressly indicated otherwise.

The Product description includes the Product name, unit price and main characteristics. Images shown in connection with a Product are for illustrative purposes.

Eurosec reserves the right to set minimum or maximum quantities of Products available for purchase and to impose other specific restrictions or special conditions on a purchase.

A sales contract may be concluded through the e-shop after the User has selected the Products, completed the order details and clicked the “Submit order”, “Place order” or another equivalent order submission button.

In the case of a Private User, the sales contract shall be deemed concluded and enter into force after payment has been made and Eurosec has confirmed that the order has been accepted for fulfilment.

In the case of a Business User, the sales contract shall be deemed concluded and enter into force when Eurosec’s confirmation that the order has been accepted for fulfilment reaches the Business User’s e-mail address.

An automatically generated notification confirming receipt of an order does not necessarily mean that Eurosec has finally accepted the order or that a sales contract has been concluded.

Before confirming an order, Eurosec may verify the availability and price of the Products, the feasibility of delivery and the legality of fulfilling the order.

If a Private User selects payment by invoice and pays after the payment deadline indicated on the prepayment invoice, such payment shall be regarded as a new offer.

Eurosec shall either accept the offer by sending a confirmation of the sales contract or refuse to conclude the sales contract. A separate confirmation shall be issued within seven calendar days of Eurosec receiving the payment.

If Eurosec refuses to conclude the sales contract, Eurosec shall notify the User within seven calendar days of receiving the payment. The purchase price shall then be refunded no later than 14 calendar days after receipt of the User’s payment.

The User undertakes to provide complete, accurate and correct information when submitting an order.

The User must identify and correct any input errors before submitting the order. If the User discovers an error after submitting the order, the User must notify Eurosec as soon as possible at info@eurosec.eu.

After the sales contract has been concluded, the User may amend the contract, including cancelling certain Products or changing the delivery method or payment terms, only by agreement with Eurosec.

The official time of conclusion of the sales contract shall be determined according to the time recorded by Eurosec’s information system or server, which may not always correspond to the time shown by the User’s browser or computer.

Eurosec may refuse to conclude a sales contract if the User has breached or is in breach of a previous contract with Eurosec, has submitted incorrect or incomplete information or if fulfilment of the order would, in Eurosec’s reasonable assessment, create an unreasonable credit, legal, security or other business risk.

Eurosec may verify the information submitted by the User and other information lawfully available to Eurosec in order to identify circumstances that may prevent the sales contract from being concluded.

The User shall be notified of a refusal to conclude the sales contract by e-mail.

If Eurosec identifies grounds for refusal after the sales contract has been concluded, Eurosec may withdraw from the sales contract without penalties, subject to applicable law.

DELIVERY OF PRODUCTS

Eurosec sells and delivers Products internationally.

Sales contracts may be concluded for delivery of Products to Estonia, other countries of the European Union and European Economic Area and countries outside the European Union.

The availability of sales and delivery to a particular country depends on the Product, country of destination, size and weight of the order, available transport solutions and applicable laws and regulations.

The fact that an automatic delivery method or delivery price is not displayed in the e-shop for a particular country does not necessarily mean that an order cannot be delivered to that country. In such cases, the User may request a separate delivery or price quotation from Eurosec.

Eurosec shall not restrict the submission of orders solely on the basis of the User’s nationality, place of residence, registered office or the country in which the User’s payment method was issued, except where a restriction results from applicable law, the characteristics of the Product, the country of destination, available delivery options or another objectively justified reason.

Eurosec is not required to arrange delivery to every country or region in the world.

If Eurosec does not offer delivery to the User’s address, the parties may agree on an alternative delivery method or the handover of the Products at a delivery location served by Eurosec.

Eurosec may refuse to sell, export or deliver a Product or may require additional information and documents before confirming an order if:

  • the sale, export, import, transit, possession or use of the Product is restricted or prohibited;

  • the Product is subject to export control, sanctions, licensing, end-user or end-use requirements;

  • the Product is a weapon, weapon component, ammunition, defence-related product, dual-use item or another regulated Product;

  • Eurosec is unable to use a suitable transport service for delivery to the destination country;

  • the User, consignee, end user, delivery address, country or another person involved in the transaction is subject to sanctions or other restrictions;

  • Eurosec has reasonable doubts regarding the User, intended end use, resale, re-export or the accuracy or legality of the information provided; or

  • fulfilment of the order would expose Eurosec to an unreasonable legal, credit, security or other business risk.

The User is responsible for compliance with all import, registration, authorisation, licensing, certification, marking and use requirements applicable in the destination country, unless the parties have agreed otherwise in writing.

The Products shall be delivered to the address specified by the User in accordance with the delivery method selected during checkout or separately agreed with Eurosec.

Available delivery options shall, where possible, be displayed in the e-shop before the order is submitted.

Products may be collected from Eurosec’s service point or warehouse at Valguse tee 4, Rae Parish, 75312 Harju County, Estonia, provided Eurosec has confirmed that the order is ready for collection.

Upon receipt of the Products, the User must inspect the packaging and notify Eurosec immediately of any visible external damage by e-mail at info@eurosec.eu.

Where possible, visible damage to a shipment should also be noted on the transport service provider’s delivery document.

Eurosec assumes that the User will personally accept the Products at the delivery address.

Eurosec or a transport service provider engaged by Eurosec may hand the Products over to another person present at the delivery address who may reasonably be considered the User’s representative, such as a family member in the case of a natural person or a reception or front desk employee in the case of an organisation.

If the Products are to be collected from Eurosec’s service point or warehouse, they shall be available at a time agreed with Eurosec or during Eurosec’s applicable opening hours.

If the User is unable to accept the Products at the time agreed with Eurosec, Eurosec shall be liable for destruction, loss of or damage to the Products only where such destruction, loss or damage results from Eurosec’s intentional conduct or gross negligence, unless applicable law provides otherwise.

If the User is responsible for a delay in accepting the Products, the User shall reimburse Eurosec for reasonable storage, return, repeated delivery and other related costs.

The delivery time depends on Product availability, the country of destination and the selected transport method.

For Estonia and nearby countries, the normal delivery time may start from two working days. International delivery may take up to 30 days or longer, depending on the destination, transport method, customs clearance and Product availability.

Any delivery time displayed in the e-shop, order confirmation or Eurosec’s quotation is an estimate unless Eurosec has expressly confirmed a binding delivery deadline in writing.

Eurosec may use different postal, parcel terminal, courier, freight forwarding and other transport services.

The particular transport service provider shall depend on the delivery location, dimensions and weight of the Products and the selected delivery method.

After receiving an order, Eurosec may verify the delivery cost and feasibility of delivery.

If the delivery cost or selected delivery method calculated in the e-shop is incorrect or cannot be used due to a technical error, the characteristics of the Product, the dimensions or weight of the order or the country of destination, Eurosec shall notify the User and, where possible, issue a corrected delivery quotation.

The order shall be fulfilled under the corrected terms only with the User’s consent.

If the User does not agree to the corrected terms, either party may cancel the order and Eurosec shall refund any amounts paid by the User in connection with the cancelled order.

CONSUMER’S RIGHT OF WITHDRAWAL

A User who is a consumer may withdraw from the sales contract within 14 calendar days after receiving the Product.

To exercise the right of withdrawal, the consumer must send an unequivocal notice of withdrawal, including the order number and information required for the refund, to info@eurosec.eu.

The Product must be returned at the consumer’s expense to Eurosec at Valguse tee 4, Rae Parish, 75312 Harju County, Estonia.

The consumer may submit the notice of withdrawal in free form or use the statutory model withdrawal form applicable to distance and off-premises contracts.

The consumer bears the burden of proving that the notice of withdrawal was submitted within the applicable deadline.

The returned Product must include all items originally included in the Product packaging and all documentation accompanying the Product.

The User must open the Product’s original packaging carefully and without unnecessarily damaging it.

If the packaging cannot be opened without damage, the User must use a method that causes the least possible damage.

In order to establish the nature, characteristics and functioning of a Product, the consumer may handle and use the Product only in the same manner as would normally be permitted in a physical shop.

If the consumer has used the Product beyond what is necessary to establish its nature, characteristics and functioning, the consumer shall be liable for any resulting decrease in the value of the Product.

Eurosec may deduct an amount corresponding to the decrease in value from the amount to be refunded.

The 14-day right of withdrawal does not apply, among other things, to:

  • Products that deteriorate or expire rapidly;

  • Products manufactured according to the User’s specifications or clearly personalised for the User;

  • sealed Products that are not suitable for return for health protection or hygiene reasons if the seal or packaging has been opened after delivery;

  • Products that, due to their nature, are inseparably mixed or combined with another item after delivery; and

  • other Products or contracts for which the right of withdrawal is excluded under applicable law.

The User may not withdraw from the sales contract in other circumstances not specified in these Terms and Conditions, unless a mandatory provision of applicable law grants such a right.

Eurosec shall refund all payments received under the sales contract, including the cost of standard delivery, no later than 14 calendar days after receiving the notice of withdrawal.

If the consumer expressly selected a delivery method other than the least expensive standard delivery method offered by Eurosec, Eurosec shall not be required to refund the additional cost resulting from that choice.

Eurosec may withhold the refund until Eurosec has received the returned Product or until the consumer has provided evidence that the Product has been sent back, whichever occurs first.

The consumer shall bear the direct costs of returning the Product, unless Eurosec has agreed otherwise in writing.

By agreement with Eurosec, the consumer may exchange the returned Product for another Product sold by Eurosec.

In such a case, the amount paid for the returned Product shall be offset against the purchase price of the replacement Product. Any remaining balance shall be paid or refunded in accordance with the agreement between the parties.

The consumer withdrawal rights described in this section do not apply to orders submitted by a User in the course of their trade, business, craft or profession.

CONSUMER’S RIGHT TO LODGE COMPLAINTS

Products sold through the e-shop to a User who is a consumer are subject to the statutory period for lodging claims regarding lack of conformity.

The consumer must notify Eurosec of a Product’s lack of conformity no later than two months after becoming aware of the lack of conformity.

A complaint must be sent to info@eurosec.eu and should include:

  • the User’s name and contact details;

  • a description of the defect and, where possible, photographs or other evidence;

  • the order number or another document proving the purchase; and

  • the remedy requested by the User.

Eurosec shall review the complaint and respond within the period prescribed by applicable law.

If the Product does not conform to the sales contract, the consumer shall be entitled to use the remedies provided by applicable law, including requesting repair or replacement of the Product.

If repair or replacement is impossible, unsuccessful or causes unreasonable inconvenience to the consumer, the consumer may be entitled to request a reduction in the purchase price or withdraw from the sales contract in accordance with applicable law.

Nothing in this section limits the consumer’s mandatory statutory rights.

WARRANTY

Products are covered by a commercial warranty only where this is expressly stated in the relevant Product description in the e-shop, Eurosec’s quotation or the documentation accompanying the Product.

The duration and terms of the warranty shall be set out in the Product description, Eurosec’s quotation or the documentation accompanying the Product.

Unless otherwise stated in the warranty terms, the warranty gives the User the right during the warranty period to request repair of the Product free of charge or, if repair is not possible, replacement of the Product in accordance with the warranty terms.

The warranty provider’s terms shall apply to warranty claims, including the warranty period, territorial scope, claims procedure and exclusions from warranty coverage.

The warranty does not cover defects or damage caused by, among other things:

  • mechanical damage to the Product;

  • liquids, moisture, temperature or other environmental conditions;

  • use of the Product for purposes other than its intended purpose;

  • use contrary to the operating instructions or manufacturer’s instructions;

  • incorrect maintenance or storage;

  • normal wear and tear; or

  • unauthorised repair, modification or alteration by the User or a third party.

In the event of a warranty claim, the User should contact Eurosec at info@eurosec.eu and provide the order number or another proof of purchase, a description of the defect and, where possible, photographs.

If the documentation accompanying the Product identifies the manufacturer, importer or another party as being responsible for warranty matters, the User may also contact that party directly.

A commercial warranty does not exclude or limit any mandatory statutory rights of a consumer.

EUROSEC’S RIGHT OF WITHDRAWAL

Eurosec may withdraw from a sales contract concluded with the User without penalties if, among other things:

  • the ordered Product is out of stock at Eurosec or its supplier and cannot be obtained within a reasonable time or on reasonable terms;

  • applicable law does not permit the Product to be sold, exported, imported, delivered or used by the User or in the destination country;

  • an export, import or other authorisation required for fulfilment of the order is not granted or cannot reasonably be obtained;

  • the User, consignee, end user, destination country or another person involved in the transaction is subject to sanctions or other restrictions;

  • performance of the sales contract is prevented by objective circumstances that Eurosec could not reasonably foresee, prevent or overcome;

  • the price, availability, description, VAT amount, delivery charge or other material information displayed in the e-shop was incorrect due to a technical or human error;

  • the User does not provide information or documents requested by Eurosec or the information provided proves to be incorrect; or

  • Eurosec is unable to perform the sales contract for another reasonable cause.

If Eurosec withdraws from the sales contract, it shall refund the purchase price paid under the contract within 14 calendar days after notifying the User of the withdrawal, unless the refund is prevented by circumstances attributable to the User.

Before withdrawing from the sales contract, Eurosec may offer the User an equivalent or alternative Product.

Delivery of an alternative Product requires the User’s consent.

LIABILITY AND FORCE MAJEURE

Eurosec shall not be liable for:

  • faults or interruptions caused by third parties that affect the technical operation of the e-shop or result in a failed payment, order submission or conclusion of a sales contract;

  • damage incurred where another person uses the User’s identity, account or payment method without fault on the part of Eurosec;

  • damage caused by inaccurate or incomplete information submitted by the User; or

  • other circumstances in which Eurosec’s liability is excluded under applicable law.

If a problem occurs in connection with a payment or submission of an order, the User must notify Eurosec without undue delay.

A failure to perform an obligation shall be excused if it is caused by force majeure.

Force majeure means a circumstance beyond the reasonable control of a party that the party could not reasonably have been expected to take into account when the sales contract was concluded or to avoid or overcome the circumstance or its consequences.

Depending on the circumstances, force majeure may include war, terrorism, civil unrest, epidemic or pandemic, natural disaster, fire, extensive power or communications failure, cyberattack, strike, transport disruption, action by a public authority, sanctions, import or export restrictions or an unforeseeable supply disruption affecting a manufacturer or supplier.

Eurosec shall not be liable for delivery delays or misunderstandings caused by inaccurate or incorrect information submitted by the User or by a delay in acceptance attributable to the User.

Eurosec shall not compensate the User for non-proprietary or indirect damage, including loss of revenue or profit, business interruption, loss of use or claims made by third parties, except where exclusion or limitation of such liability is prohibited by applicable law.

Eurosec shall not compensate the User for damage arising from obligations assumed by the User towards third parties in connection with the Products, including obligations to resell, transfer, pledge or deliver the Products within a particular period.

Eurosec shall not compensate the User for damage resulting from changes in delivery times, prices or other conditions, except to the extent that liability arises under a mandatory provision of law.

Eurosec shall not be liable for damage incurred as a result of Eurosec exercising a right to withdraw from a sales contract under these Terms and Conditions or applicable law.

The limitations and exclusions of liability contained in these Terms and Conditions shall not apply to the extent that liability cannot lawfully be limited or excluded.

OTHER RIGHTS AND OBLIGATIONS OF THE PARTIES

The User shall:

  • provide complete, truthful and accurate information during the purchasing process, including submitting the order under the correct name or business name and using a valid e-mail address;

  • ensure that the person submitting the order has the authority to represent the User;

  • ensure the security of the User’s account, passwords and authentication methods;

  • not use Eurosec’s e-shop for any illegal activity or activity contrary to good morals;

  • not use another person’s identity or submit an order on behalf of another person without appropriate authorisation;

  • not permit the User’s account to be used by a person who does not have the legal right to enter into the relevant transaction;

  • comply with all requirements applicable to the export, import, resale, re-export, possession and use of the Products; and

  • provide Eurosec, upon request, with accurate information concerning the end user and intended end use of the Products.

The User represents and warrants that:

  • the User is a natural person with legal capacity or a duly registered legal entity authorised to conduct transactions through Eurosec’s e-shop;

  • the User understands and agrees that submitting an order and Eurosec’s acceptance of that order may result in a legally binding sales contract;

  • the User understands and agrees that Eurosec may process the User’s personal data in accordance with applicable law, these Terms and Conditions and Eurosec’s Privacy Policy;

  • the User understands the provisions of these Terms and Conditions and acknowledges that use of Eurosec’s e-shop may create legally binding obligations; and

  • the User shall not use or permit the Products to be used for an illegal purpose or contrary to the manufacturer’s instructions, applicable law or safety requirements.

Eurosec represents that:

  • the Products conform to the descriptions displayed in the e-shop and have the indicated characteristics, subject to any permitted variations identified in the description or quotation;

  • the information provided concerning the Products is based on information known to Eurosec and information supplied by the manufacturer or supplier; and

  • the Products are generally new and sold for first use unless the Product description states that the Product is used, a sample, a demonstration Product or refurbished.

NOTIFICATIONS

The User and Eurosec shall exchange information relating to the e-shop and sales contracts electronically using the e-mail addresses disclosed in the e-shop or order.

An electronic notice shall be deemed received when it reaches the recipient’s e-mail server or e-shop account, unless the sender receives an automated notification that the message could not be delivered.

Notices may also be sent in writing to the User’s address specified in the order.

Notices to Eurosec may be sent by e-mail to info@eurosec.eu or by post to Valguse tee 4, Rae Parish, 75312 Harju County, Estonia.

All such material is protected by intellectual property rights.

The User may not copy, distribute, modify, publish, transmit, commercially exploit or otherwise use such material without the prior written permission of Eurosec or the relevant rights holder, except to the extent permitted by applicable law.

For the purpose of offering Products through the e-shop, manufacturers and suppliers may have authorised Eurosec to use their trademarks, Product descriptions, photographs and other material that remains the intellectual property of the respective rights holders.

Eurosec processes personal data collected through Eurosec’s website and e-shop for the purposes of fulfilling orders, managing customer relationships, processing payments, arranging delivery, complying with legal obligations and for other purposes described in Eurosec’s Privacy Policy.

Eurosec is the controller of personal data and may disclose personal data necessary for fulfilment of an order to payment service providers, transport service providers, IT service providers, manufacturers, suppliers and other processors or recipients to the extent required to fulfil an order or comply with a legal obligation.

APPLICABLE LAW AND DISPUTE RESOLUTION

These Terms and Conditions and sales contracts for Products shall be governed by Estonian law.

The application of Estonian law shall not deprive a consumer of the protection granted by mandatory consumer protection provisions applicable in the consumer’s country of residence, where such provisions apply.

The parties shall first attempt to resolve any dispute through negotiations.

If a dispute cannot be resolved through negotiations, it shall be resolved by a competent court of the Republic of Estonia.

Disputes involving a Business User shall be resolved by Harju County Court, unless a mandatory provision of law or a separate written agreement between the parties provides otherwise.

A consumer may bring proceedings before a competent court in accordance with applicable jurisdiction rules.

A consumer may also submit an application concerning a dispute with Eurosec to the Consumer Disputes Committee.

Proceedings before the Consumer Disputes Committee are free of charge for the consumer.

Before submitting an application to the Committee, the consumer must have submitted a complaint to Eurosec and given Eurosec an opportunity to respond.

Information concerning the Consumer Disputes Committee and submission of applications is available on the website of the Estonian Consumer Protection and Technical Regulatory Authority at www.ttja.ee.

If any provision of these Terms and Conditions is held to be wholly or partly invalid, illegal or unenforceable, this shall not affect the validity or enforceability of the remaining provisions.

Where possible, the invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the legal and commercial purpose of the original provision.
